B2B Customer Terms & Conditions

1. Scope and Acceptance

By creating an account, requesting an account, or placing an order through the Site, you agree to these Terms & Conditions ("Terms") on behalf of the business or organization you represent ("Customer," "you"). If you do not agree, do not register or use the Site.

2. Business-Only Use; Authority

This Site is intended for business, institutional, and nonprofit purchasers. You represent that:

  • You are authorized to bind the Customer to these Terms.
  • All information you submit is accurate and current.
  • You will maintain your account details and promptly update changes.

3. Account Approval and Access

  • Account requests are subject to approval. We may accept or decline an account request at our discretion.
  • You are responsible for all activity under your login credentials and for maintaining confidentiality of your password.
  • We may suspend or terminate access if we suspect unauthorized use, fraud, misuse, or violation of these Terms.

4. Permitted Use; Prohibited Activities

You agree not to:

  • Use the Site for unlawful purposes or to violate any applicable law.
  • Attempt to bypass security, scrape data, reverse engineer, or interfere with Site operations.
  • Upload malware or harmful content.
  • Misrepresent identity, business affiliation, or tax-exempt/resale status.

5. Quotes, Product Info, and Pricing

  • Product descriptions, images, availability, and prices may change without notice and may contain errors.
  • Any quotes are non-binding unless stated otherwise in writing.
  • If we discover a pricing or listing error, we may cancel or correct the affected order and notify you.

6. Orders and Acceptance

  • An order is not accepted until we confirm acceptance (e.g., order confirmation, shipment confirmation, or written acceptance).
  • We may reject or cancel orders due to inventory, verification issues, policy restrictions, or suspected fraud.

7. Taxes; Resale and Exemption Certificates

  • Unless prohibited by law, you are responsible for all sales, use, VAT, GST, or similar taxes related to your purchases.
  • If you claim resale or tax-exempt status, you must provide valid documentation (e.g., resale certificate or exemption certificate) as required by the relevant jurisdiction.
  • If documentation is missing, invalid, or expired, we may:
    • Charge applicable tax,
    • Place the account on tax-hold,
    • Require updated documents before fulfillment.
  • You represent that any tax documentation you provide is accurate and used only for lawful purposes.

8. Payment Terms

A. Pay-at-Order

Payment is due at checkout or upon invoice as specified.

B. Net Terms / Invoice Accounts (if offered)

  • Credit terms are offered only upon approval.
  • Invoices are due per the agreed net terms from invoice date unless otherwise stated.
  • Past-due balances may incur late charges at the maximum rate allowed by law.
  • You agree to pay reasonable costs of collection (including attorneys' fees) where allowed.

9. Shipping, Delivery, and Risk of Loss

  • Shipping methods, carriers, and delivery timelines are estimates, not guarantees.
  • Title and risk of loss transfer according to the shipment terms shown on the order/invoice (e.g., FOB Shipping Point or FOB Destination).
  • For drop-shipments fulfilled by third-party suppliers/wholesalers, delivery performance may depend on the supplier and carrier.

10. Receiving, Claims, and Shortages

  • You must inspect shipments upon receipt.
  • Claims for shortages, damage, or incorrect items must be submitted within 5 business days of delivery with supporting photos/documents where applicable.
  • Failure to report within the claim window may waive the claim to the extent permitted by law.

11. Returns and Restocking

  • Returns require prior authorization (RMA). Return eligibility may depend on the product category and supplier rules.
  • Returns must be requested within 30 days of delivery.
  • Items must be unused, in original packaging, and in resalable condition unless defective.
  • Restocking fees may apply. Shipping costs are generally non-refundable unless the return is due to our error.

12. Warranties; Disclaimers

Unless stated otherwise in writing:

  • Products may be covered by manufacturer warranties where applicable.
  • To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability and fitness for a particular purpose, and any warranties arising from course of dealing or trade usage.
  • Some jurisdictions limit disclaimers; these disclaimers apply only to the extent permitted.

13. Limitation of Liability

To the fullest extent permitted by law:

  • We are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, or business interruption.
  • Our total liability related to a claim will not exceed the amount you paid for the specific order giving rise to the claim.

14. Indemnification

You agree to defend, indemnify, and hold harmless the Company from claims arising out of:

  • Your misuse of the Site,
  • Your breach of these Terms,
  • Your tax/exemption representations,
  • Your violation of law.

15. Confidentiality

If you receive non-public business information (pricing, supplier details, operational information), you agree to keep it confidential and use it only for legitimate purchasing activities.

16. Intellectual Property

The Site, its content, and branding are owned by the Company or licensors and are protected by IP laws. You may not copy, distribute, or create derivative works without permission.

17. Electronic Communications

You consent to receive communications electronically (email, portal notices, SMS if enabled). You are responsible for keeping contact details current.

18. Suspension and Termination

We may suspend or terminate accounts for violations, suspected fraud, nonpayment, or legal compliance needs. Obligations that should survive (payment, indemnity, limitation of liability) will survive termination.

19. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be posted with a new effective date. Continued use after changes constitutes acceptance.

20. Governing Law; Dispute Resolution

These Terms are governed by the laws of the state where the Company is headquartered, without regard to conflict-of-law principles. Venue for disputes will be in the courts of that jurisdiction.
